DAIKIN AIR SELECT Terms of Use

Before accessing or using any services provided through this DAIKIN AIR SELECT, you are required to register an account with us by providing accurate and complete information as prompted during the registration process and agree to our DAIKIN AIR SELECT Terms of Use - please read them carefully. By agreeing to these Terms, you acknowledge your understanding of your rights and obligations as a user of our Service. These Terms constitute a legally binding agreement between you and Daikin Industries (Thailand) Ltd. All capitalized terms used in these Terms are defined in Annex I – Definitions.

1. About Us

We, Daikin Industries (Thailand) Ltd., a private limited company duly organized and existing under the laws of Thailand, whose registered office is located at No. 700/11 Village No. 1, Klongtamru Sub-district, Mueang Chonburi District, Chonburi Province 20000 ("DIT", "we", "us", "our"), are responsible for managing and operating the DAIKIN AIR SELECT Application.

2. These Terms and Your Acceptance

Our Service is hosted on servers that may be physically located both within Thailand and in other jurisdictions outside Thailand, depending on operational requirements.

By accessing or using any of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including DAIKIN AIR SELECT Privacy Policy. If you do not agree to all of these Terms and the DAIKIN AIR SELECT Privacy Policy, you must immediately discontinue access to and use of the Services.

3. Use of Our Service

3.1 You may access and use the Service solely for your personal and non-commercial use and in accordance with these Terms and the Documentation. You are responsible for maintaining the confidentiality of all API keys, user IDs, and password information, and must not share such information with any unauthorized person. User IDs are granted to individual, named persons and may not be shared under any circumstances. You may be held liable for any losses incurred by us or by others as a result of unauthorized use of your credentials or account due to your failure to maintain confidentiality of such information. If you become aware of, or have reason to suspect, any breach of security, unauthorized access, or unauthorized use of your password or account, you are required to notify us immediately by contacting our designated security team at the contact details provided below:

3.2 You shall not:

3.2.1 sell, resell, rent, lease, provide access to, or sublicense the Service to a third party, whether for commercial gain or otherwise;

3.2.2 interfere with or disrupt the integrity or performance of the Service or any content contained therein, such as by introducing malicious code, overloading systems, or attempting to degrade service quality;

3.2.3 attempt to gain unauthorized access to the Service or the underlying systems or networks, including through hacking, password mining, or any other means intended to circumvent security measures;

3.2.4 use the Service or data derived therefrom to provide, or incorporate the Service into, any unauthorized product or service provided to a third party, or to create a competing offering, including but not limited to developing similar software or services based on insights gained from the Service;

3.2.5 reverse engineer, decompile, disassemble, or otherwise seek to obtain the source code or non-public APIs to the Service, except to the extent expressly permitted by applicable law (and then only upon advance notice to us), and only for the purpose and to the extent required by such law;

3.2.6 circumvent any technical limitations in the Service that limit or restrict access to or use of Service or any content, file, or other work, except as expressly permitted by applicable law notwithstanding this limitation, including by using tools or methods to bypass security or usage restrictions;

3.2.7 degrade, impede access, copy or modify the Service or any Documentation, or create any derivative work from any of the foregoing;

3.2.8 remove or obscure any proprietary or other notices contained in the Service, including copyright, trademark, or confidentiality notices;

3.2.9 publicly disseminate information regarding the performance of the Service, such as benchmarking results or performance metrics, without our prior written approval;

3.2.10 use our, Daikin Group's or other third party's name or trademarks referenced in the provision of the Service in any manner without our, Daikin Group's or other third party's written consent, including in advertising, marketing, or promotional materials;

3.2.11 engage in any activity that interferes with or disrupts our Service (or the servers and networks which are connected to our Service), including by transmitting any worms, viruses, spyware, malware, or any other code of a destructive or disruptive nature, or by launching denial-of-service attacks;

3.2.12 inject content or code or otherwise alter or interfere with the way any part of our Service is rendered or displayed in a user's browser or device, including by using browser extensions, scripts, or other means to manipulate the user interface;

3.2.13 change, alter, or modify any part of our Service for any reason, including attempting to customize, rebrand, or otherwise alter the appearance or functionality of the Service without authorization;

3.2.14 use or launch any type of automated system, including but not limited to, "robots," "spiders," or "offline readers," etc., that accesses our Service in a manner that sends more request messages to our servers in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser, or otherwise attempts to harvest data or disrupt normal operations;

3.2.15 frame or deep link into any of our websites, including by embedding our Service within another website or application without express written permission;

3.2.16 access (or attempt to access) any of our Service, by any means other than through the interfaces that are provided by us, including by using unauthorized APIs, scripts, or other tools;

3.2.17 use our Services for any illegal or unauthorized purpose, including but not limited to violating applicable laws, regulations, or third-party rights;

3.2.18 use the Service in any manner outside of its intended purpose, including for activities not expressly permitted by these Terms.

3.3 To the maximum extent permitted under the applicable laws, we shall have the right at any time, with prior notice, to limit access to, change, suspend, or discontinue any aspect or feature of the Service if you are in violation of these Terms or for any reason relating to maintenance, upgrades, security concerns, legal or regulatory requirements, or business needs.

3.4 You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services.

3.5 You are solely responsible for ensuring that your systems meet the hardware, software and any other applicable system requirements for the Software as specified in the Documentation. We will have no obligations or responsibility under these Terms for issues caused by your use of any third-party hardware or software not provided by us.

3.6 Subject to these Terms, we grant you a non-exclusive, non-sublicensable and non-transferable license to install and use the Software during the applicable license term for your own personal and non-commercial purposes, in accordance with these Terms, the Documentation and all applicable laws.

4. Customer Data

Subject to these Terms, you acknowledge and agree that we may monitor your use of the Service, and hereby grant to us a non-exclusive, perpetual, sub-licensable, irrevocable and worldwide, royalty-free right and license to receive, host, store, analyze, process, enhance, copy, transmit, modify, create derivative works of, maintain, display or otherwise use your data (a) solely to provide the Service to you, and (b) to generate usage statistics and usage data we may use for any internal business purpose, including but not limited to (i) improving the Service, (ii) producing and sharing aggregated insights derived from the usage statistics or usage data, or (iii) comparing usage and adoption rates of customer's and other organizations; provided, however, that we will only use such usage statistics and usage data in a De-Identified Data form. We will not disclose or provide customer data or customer's identities to third parties, except as expressly provided in DAIKIN AIR SELECT Privacy Policy, and we shall own all rights, title and interest in and to De-Identified Data, the usage statistics and usage data, including without limitation all intellectual property rights therein. We will implement appropriate safeguards to ensure that any De-Identified Data cannot reasonably be used to re-identify you or any individual.

5. Data Privacy and Security

5.1 You acknowledge and agree that in the execution and the administration of the Service, your Personal Data, including but not limited to names, contact information, and usage data, will be collected and processed for the purposes of providing, maintaining, and improving the Service. You further agree that where you provide us with any third party's Personal Data for such purpose, you will ensure that you have the legal right and have complied with all legal requirements to do so in accordance with applicable laws. Where we process your Personal Data in relation to providing the Service, we will do so in accordance with DAIKIN AIR SELECT Privacy Policy and all applicable Data Privacy Laws.

5.2 To the maximum extent permitted by applicable law, we will have no responsibility for errors in transmission, unauthorized third-party access, interruptions due to a failure of third-party communication technologies, or any other causes beyond our reasonable control, including but not limited to force majeure events, cyberattacks, or failures of internet infrastructure.

6. Proprietary Rights

6.1 You acknowledge that you are obtaining only a limited, non-exclusive, non-transferable, and revocable right and license to access and use the Service solely for your personal use, subject to strict compliance with these Terms. The Service is licensed, not sold, and no title or ownership interest in the Service or any related intellectual property is transferred to you. As between the parties, the Service (including without limitation, any updates, upgrades, modifications, customizations, and improvements thereto) and all intellectual property rights therein, are and will remain our sole and exclusive property and/or of our partners, suppliers and licensors. Irrespective of any use of the words "purchase", "sale" or like terms in any agreement, no ownership rights or interests are being conveyed to you under these Terms with respect to the Service. Your use and access of the Service do not transfer to any third party any rights, title, or interest in or to such intellectual property rights. We and our suppliers reserve all rights not expressly granted to you.

6.2 You may choose to or may be invited to submit Feedback. You agree that Feedback submissions are voluntary, gratuitous, unsolicited, and without restriction and will not place us under any fiduciary or other obligation. To the maximum extent permitted by applicable law, we may use, copy, modify, publish, or redistribute Feedback and its contents for any purpose. You hereby grant us a royalty-free, worldwide, transferable, sub-licensable, irrevocable, perpetual right and license to use, copy, modify, publish, or redistribute Feedback and its contents for any purpose, including the right and license to use or incorporate into the Service any suggestions, enhancement requests, recommendations or other Feedback provided by you relating to the Service. To the maximum extent permitted by applicable law, you waive all moral rights you may have in the Feedback (or otherwise consents to any act or omission which would, in the absence of consent, infringe your moral rights) and will procure a waiver of (or consent to infringement of) any other moral rights in the Feedback. You also agree that that Feedback you provide does not infringe any third-party intellectual property and that you are entitled to grant the license to us and we do not waive any rights to use similar or related ideas previously known to us, developed by its employees, or obtained from other sources.

7. Term and Termination

To the maximum extent permitted by applicable law, we reserve the right to terminate your access to the Service at any time if we reasonably believe that you are not acting in good faith or in material violation of these Terms. In such cases, we may provide notice to you, but are not required to do so, and the access may be immediately terminated and without liability to us.

Upon any expiration or termination of these Terms, your license to the Services (even if the license term is identified as "perpetual" or if no expiration date is specified) will expire and you must cease using and delete (or at our request, return) all software or other materials of us in your possession, including on any third-party systems operated on your behalf.

The provisions of Article 1266 of the Indonesian Civil Code are hereby waived for the termination of these Terms to the extent necessary, so that the termination of these Terms do not require an order or court judgment.

8. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE MAKE NO WARRANTIES TO OR FOR PERMITTED USERS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) ALL SERVICE, SUPPORT, AND PROFESSIONAL SERVICES ARE PROVIDED "AS IS".

(B) NEITHER WE, NOR OUR SUPPLIERS, MAKE ANY WARRANTIES HEREIN, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

(C) WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL BE FREE FROM OTHER PROBLEMS CAUSED BY THE USE OF THE INTERNET, ELECTRONIC COMMUNICATIONS, THIRD-PARTY PLATFORMS, OR OTHER SYSTEMS OUTSIDE OUR REASONABLE CONTROL, NOR DO WE WARRANT THAT WE WILL REVIEW THE CUSTOMER DATA FOR ACCURACY OR THAT WE WILL MAINTAIN THE CUSTOMER DATA WITHOUT LOSS OR CORRUPTION.

9. Limitation of Liability

9.1 To the maximum extent permitted by applicable law, under no circumstances shall we, or our suppliers be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of revenue, loss of profits, loss of anticipated savings, loss of use of equipment or facilities, loss or corruption of data, failure of security mechanism, interruption of business, or any economic damages howsoever arising.

10. Amendments to the Terms

10.1 You acknowledge and agree that we may modify these Terms at any time. Where we modify these Terms in such a way that may materially impact you, we will use commercially reasonable endeavors to provide you with reasonable notice of the modification. You acknowledge and agree that continued use of the Service after being provided reasonable notice of the modification of the Terms shall constitute acceptance and agreement to such modified Terms. These Terms apply to any Update of DAIKIN AIR SELECT Application. From time to time, we may provide Automatic Updates. Such Automatic Updates may include modifications, enhancements, bug fixes, security patches, or other changes that may affect the functionality, features, or performance of the Service or related applications.

10.2 You acknowledge and agree that Automatic Updates may occur at our sole discretion, that your continued use of the Service may be conditioned upon your acceptance of Automatic Updates, and that you consent to Automatic Updates by acceptance of these Terms. You further acknowledge that it is your responsibility to ensure that your device is compatible with such Updates and that Automatic Updates may temporarily or permanently affect the operation of your device or the Service. If we provide additional terms along with an Update, those terms will apply to the Update. If we provide you with an Update, we may, at our sole discretion, require you to use the Update version and cease use of earlier versions. We reserve the right to update, modify or discontinue any product or service made available to you through use of the Service.

11. Governing Law and Jurisdiction

These Terms, their subject matter and their formation, are governed by the laws of Thailand. Any dispute arising out of or in connection with these Terms, including any question regarding existence, validity or termination of these Terms, shall be resolved through a mutually agreed-upon method in writing by you and us. If you and we fail to reach a mutually agreed-upon method within 30 days following written notice of the dispute by either party, the dispute shall be finally resolved by Thai courts.

12. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, the provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of these Terms shall remain in effect.

13. Remote Control Feature

13.1 The Service will provide Remote Management Features, including but not limited to features that allow you to start or stop equipment, initiate emergency stops, adjust setpoint temperatures, and modify operating modes. You acknowledge that such Remote Management Features are provided solely as convenience and that you retain full responsibility for the proper operation, maintenance, and oversight of all equipment, including ensuring that all remote actions are appropriate and safe for the specific equipment and environment.

13.2 You shall:

(a) ensure that only properly trained and authorized personnel utilize Remote Management Features;

(b) maintain appropriate backup and emergency procedures in case of any failure or unavailability of the Remote Management Features, including procedures for manual operation and intervention;

(c) verify that all remote commands and configurations are appropriate for the equipment and operating conditions, and confirm successful execution of such commands;

(d) comply with all equipment manufacturer guidelines, warnings, and instructions; and

(e) maintain appropriate physical access controls to prevent unauthorized or improper use of the equipment, including regular audits of access permissions.

13.3 You acknowledge and agree that you are solely responsible for: (a) any changes made to equipment settings using the Remote Management Features; (b) ensuring that all setpoint adjustments remain within manufacturer-specified safety parameters and do not compromise equipment integrity or safety; (c) monitoring the effects of any remote commands on equipment and facility operations, including immediate response to any adverse outcomes; and (d) maintaining appropriate oversight of all remotely managed equipment.

13.4 We shall not be responsible for any damage, malfunction, failure, or other issues arising from your use of the Remote Management Features, including but not limited to issues resulting from incorrect commands, misconfiguration, or lack of proper oversight unless the issues are caused by us.

13.5 We have no obligation to monitor your use of the Remote Management Features or to review or validate any commands, configurations, or settings implemented by you. The Remote Management Features do not replace the need for regular inspection, maintenance, and physical monitoring of equipment by your trained personnel, and should be considered supplemental to such activities unless the issues are caused by us.

13.6 You are solely responsible for ensuring that access to Remote Management Features is limited to authorized Permitted Users, maintaining strict control over user credentials, and immediately revoking access for any personnel who should no longer have such access. You acknowledge that unauthorized access to Remote Management Features could result in equipment damage, facility damage, personal injury, or other adverse consequences to the maximum extent permitted by applicable laws, and that you bear sole responsibility for preventing such unauthorized access through robust security measures and regular review of access logs.

13.7 While the Service will attempt to maintain records of remote management operations as described in the Documentation, to the maximum extent permitted by applicable law, we do not guarantee the availability, accuracy, or completeness of such records. You should maintain independent records of all critical equipment operations and settings and regularly verify the accuracy of such records.

13.8 You acknowledge that the Remote Management Features are subject to network connectivity, equipment compatibility, and other technical limitations, such as latency, data transmission errors, software bugs, and hardware failures. Remote Management Features may be temporarily unavailable due to maintenance, technical issues, or factors beyond our control, including internet outages or cyberattacks. You shall maintain alternative means of equipment management and shall not rely exclusively on Remote Management Features for critical operations or safety functions, ensuring that contingency plans are in place for uninterrupted equipment oversight.

14. Trademarks

Daikin Industries Ltd.'s name and its logos are registered trademarks and/or service marks owned exclusively by Daikin Industries Ltd., with all rights reserved. You may not use, reproduce, display, or distribute such trademarks in any manner without the prior express written permission of Daikin Industries Ltd., which may be granted or withheld at Daikin Industries Ltd.'s sole discretion. All other trademarks, service marks, or logos appearing on the Service are the property of their respective owners and are used herein only for identification purposes. Nothing in these terms shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, service mark, or logo displayed on the Service without the written permission of Daikin Industries Ltd. or such third party that may own the trademarks displayed.

15. Software

15.1 Any Software that is made available to download from the Service is the copyrighted work of us. Use of the Software is governed strictly by these Terms and the License Agreement, if any, which accompanies or is included with the Software. You must not install or use any Software that is accompanied by or includes a License Agreement unless you fully agree to the License Agreement terms. The Software is made available for download solely for your personal or authorized business use, and only in accordance with the License Agreement. Any reproduction, redistribution, or use of the Software not in accordance with the License Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties, including but not limited to monetary damages, injunctions, and prosecution. Violators will be prosecuted to the maximum extent permitted by applicable law.

15.2 WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED, UNLESS SUCH REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PERMITTED BY THE LICENSE AGREEMENT ACCOMPANYING SUCH SOFTWARE. THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE LICENSE AGREEMENT. EXCEPT AS WARRANTED IN THE LICENSE AGREEMENT AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SOFTWARE, INCLUDING ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.3 FOR YOUR CONVENIENCE, WE MAY MAKE AVAILABLE AS PART OF THE SERVICES OR IN ITS SOFTWARE PRODUCTS, TOOLS AND UTILITIES FOR USE AND/OR DOWNLOAD. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DO NOT MAKE ANY ASSURANCES WITH REGARD TO THE ACCURACY, RELIABILITY, OR SUITABILITY OF THE RESULTS OR OUTPUT THAT DERIVES FROM SUCH USE OF ANY SUCH TOOLS AND UTILITIES, AND SUCH USE IS AT YOUR OWN RISK. PLEASE RESPECT THE INTELLECTUAL PROPERTY RIGHTS OF OTHERS WHEN USING THE TOOLS AND UTILITIES MADE AVAILABLE ON THE SERVICES OR IN DAIKIN GROUP'S PRODUCTS.

16. Indemnification

You agree to defend, indemnify, and hold harmless DIT, Daikin Group and their respective directors, officers, employees, and agents from and against any and all losses, damages, liabilities, claims, demands, actions, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to (i) the misuse of the Service by you, and/or (ii) any material breach of these Terms by you including but not limited to a breach of Clause 3 of these Terms. The indemnification obligations herein shall survive the termination or expiration of this Agreement.

Annex I - Definitions

Capitalized terms used herein and not otherwise defined shall have the meanings as ascribed to them in these Terms.

a) "Automatic Updates" means automatic "push" or an over-the-air Update to user's mobile phone, tablet, laptop, desktop, or other computing device via a cellular or internet connection.

b) "Customer Data" means any data of any kind that is submitted to the Service by or on behalf of user, including but not limited to data submitted, uploaded or imported to the Service by user (including from Third Party Platforms).

c) "Data Controller" means a legal entity which determines purposes and means of the processing of Personal Data.

d) "Data Privacy Laws" means applicable national, federal, state and provincial laws relating to data privacy, the protection of personal information or data, and the cross-border transfer of personal information or data in the jurisdiction where the Service is offered, including, without limitation, the laws Personal Data Protection Act B.E. 2562 of Thailand, Law number 27 of 2022 on Personal Data Protection of Indonesia.

e) "Daikin Group" means Daikin Industries Ltd. and its subsidiaries.

f) "De-Identified Data" means data in an anonymized, de-identified or aggregated form that does not identify the user or any individual identity.

g) "Documentation" means the technical user documentation provided with the Service.

h) "Feedback" means comments, suggestions, or ideas about the Service, including how to improve the Service.

i) "License Agreement" means end user license terms that govern the use of Software made available through the Service, as provided by DIT and/or third parties.

j) "DAIKIN AIR SELECT Application" means DAIKIN AIR SELECT application.

k) "DAIKIN AIR SELECT Privacy Policy" means the Privacy Policy in relation to the Service as published on DAIKIN AIR SELECT Application and as may be amended from time to time by DIT.

l) "Personal Data" means any information relating to a living individual which enables the identification of such person, whether directly or indirectly.

m) "Service" means the DAIKIN AIR SELECT application developed and operated by DIT and delivered to the user as application.

n) "Software" means any software that is made available to download from the Service.

o) "Terms" means the Terms and Conditions of Use of the Service as published by DIT on DAIKIN AIR SELECT Application and as may be amended from time to time by DIT.

p) "Third Party Platforms" means any software, software-as-a-service, data sources or other products or Service not provided by DIT that are integrated with or otherwise accessible through the Service.

q) "Update" means any updates to the Service as well as any applications (if any) used to access the Service that we may, in its sole discretion, provide or make available.

r) "Remote Management Features" means remote management functionality for certain equipment.
